Pennsylvania Act 122
This Act became effective on January 2, 2023 and made various changes to the laws governing domestic and foreign entities doing business in Pennsylvania (Title 15 Corporations and Unincorporated Associations).  One of these changes now requires most Pennsylvania entities and also registered foreign entities to file annual reports with the Corporation Bureau.

Under prior law, entities were only required to file a decennial report on a rolling ten-year basis unless the entity had made certain filings with the Corporation Bureau within the ten-year cycle.

What entities must file?
 * All domestic entities organized in Pennsylvania including business corporations, nonprofit corporations, LLC’s limited partnership and professional corporations

* Foreign entities registered to do business in Pennsylvania

When does this filing requirement begin?
The annual reporting requirement begins on January 3, 2024.

Filing Deadlines
Corporations (for profit and nonprofit and domestic and foreign) must make the annual filing on or before June 30th of each year.

Limited Liability Companies (both domestic and foreign) must make the annual filing on or before September 30th of each year.

All other entities must make the filing on or before December 31st of each year.

File Report online
The annual report can be filed online with Business Filing Services at https://file.dos.pa.gov

There is no filing fee for nonprofit entities.  There is a $7 filing fee for all other entities.

Failure to File
There is a grace period for failing to file annual reports until January 4, 2027.  If an entity fails to file its annual reports due on or after January 4, 2027, it will be subject to administrative dissolution.  The Corporation Bureau will provide notice of failure to file to the registered address.  If the entity does not make a filing within 60 days after the notice, the Corporation Bureau will administratively dissolve or cancel the entity.  In such event, the entity’s name becomes available for another entity to claim, and the entity is not authorized to conduct any activities other than winding up and dissolving.
